2 Purpose and Subject of the Contract
The purpose of this agreement is that Yokyok's products are offered to the consumer by the Dealer only through online sales channels.
The subject of this is to determine the commercial and legal conditions between Yok Dec and the Dealer before and after the sale in order for this sale to take place.
3 Definitions
The expressions defined below shall mean the meaning found opposite them in the contract.

4 Rights and Obligations of the Parties
4. 1. With this agreement, the Dealer will present the products purchased from Yokyok to the final consumer through online sales channels.
4. 2. Yokyok authorized Dealer authorized to provide information about the products to be offered for sale (product name, descriptive information, price, product image, etc.) will send it electronically via XML.
4. 3. Yokyok guarantees and undertakes to supply and deliver the products it delivers to the Dealer in electronic environment during the contract Jul.
4. 4. Yokyok guarantees the replacement of defective products if they are in stock, and the refund of the product fee to the Dealer if they are out of stock.
4. 5. Yokyok undertakes that in case of incomplete and erroneous delivery, the Dealer will be responsible for demonstrable damages and will refund the product price.
4. 6. Yokyok guarantees to refund the fees of the orders cancelled due to stock or product errors to the Dealer.
4. 7. During the term of the contract, the Dealer has the right to market Yokyok products on online sales channels.
4. 8. If Yokyok wants to terminate the Dealer's contract due to mutual disputes, even though it has not violated the rules, it guarantees to pay back the XML payable by the Dealer.
4. 9. The responsibility of the losses caused by the loss of the products during shipping or delivery to third parties who do not have delivery approval belongs to the Dealer.
4. 10. Yokyok cannot exchange or return underwear, health, medical products due to the hygiene rules in the legal legislation, and undertakes to sell these products to the customer under the same conditions at the Dealer.
4. 11. Yokyok does not accept any responsibility for disputes between the dealer and the customer in the sales made by the dealer, the Dealer undertakes to cover all the customer's losses as the right of exchange and refund upon the customer's request. Dec.
4. 12. Yokyok has the right to make changes in cargo prices at the rate of changes in cargo prices.

4. 14. Yokyok can update the list of products that will be on sale on the Dealer's website at any time, remove products from the list or add products.
4. 15. Yokyok has the right to cancel the Dealer order due to insufficient stock.

4. 17. The dealer has to make updates from XML containing product information at least once every day. Otherwise, Yokyok cannot be held responsible for direct or indirect damages that may arise.
4. 18. Yokyok will deliver the ordered products to the address specified by the Seller by cargo. Yokyok will not be held responsible for delays caused by shipping.
4. 19. If the dealer wants to make changes to the product list specified by Yokyok, he will notify Yokyok in writing and make the change with approval. Damages that may arise from changes made without approval are the responsibility of the Dealer.
4. 20. All demonstrable losses that will occur directly and indirectly as a result of changes made to the Dealer's product list will be covered by the Dealer immediately in cash and at once after the first request of Yokyok.
4. 21. Yokyok has the right to terminate the contract unilaterally for all provable damages that will occur directly and indirectly due to changes made by the Dealer in product lists, prices, descriptions, product images.
4. 22. The dealer has the right to terminate the contract unilaterally if he uses misleading statements, descriptions, prices, images on his website and Yokyok is held responsible directly and indirectly for this.
4. 23. The dealer must make sales in accordance with the legal legislation and grant the right of return and exchange to its customers within the legal period when it enters into a dispute with its customers, otherwise the Dealer is responsible for all losses incurred, and has the right to terminate the contract unilaterally if the Dealer who does not grant the right of return and exchange to its customers is detected.
4. 24. In terms of the obligations imposed on the seller by the Consumer Protection Law and the Code of Obligations in this regard, he will be responsible as a Dealer. The Dealer undertakes to act in accordance with the provisions of the Law on Consumer Protection, and otherwise, all demonstrable damages that Yokyok may suffer directly and indirectly will be covered by the Dealer immediately in cash and at once after Yokyok's first request.
4. 25. The legal representative of the parties to each other, attorney, representative, agent, (and like it) is not specified in the annexes to this Agreement and its members and customers and third parties to topics in internal and/or account and carry out transactions on behalf of or each other outside of negotiations to enter into commitments to each other will not be authorized to take legal action for using the name.

5 Pay and Delivery Terms
5. 1. The delivery of the products will be made to the Dealer's address specified in this agreement or to the address that the Dealer will notify Yokyok during the order, with the cargo delivery record and to the person specified in the delivery confirmation. The responsibility arising from the fact that the delivery is not made to the right people on time belongs to the Dealer.
5. 2. Pay Fridays of the Dealer's commission is calculated every week based on the commission rates reported by Yokyok. The commission is paid to the dealer's bank account and the receipt stating that the payment transaction has been made is shared with the Dealer.
5. 3. The dealer official will create the product orders he receives from his customer from his own membership on Yokyok's website.
6 Commission Rates

7 Special Conditions
7. 1. The fact that the parties have not exercised any contractual rights during the implementation of this agreement cannot be interpreted as an explicit, implied, temporary or permanent waiver of this right.
7. 2. In the event of natural disasters such as epidemic disease, war, terrorism, rebellion, fire, explosion, zelzele that will occur in Turkey, as well as force majeure causes that cannot be predicted in advance or prevented in advance due to reasons such as strikes and lockouts, the parties will not be held responsible for the non-fulfillment of the provisions of this agreement. 8 Product Return and Exchange
8. 1. Products that are returned from the customer will be returned to Yokyok by the Dealer within 7 working days for an invoice. Yokyok pays for the replacement of the product or refund of the fee as long as there is no damage to the product.
8. 2. Jul provides some product groups to the Dealer without the right of return, the customer can return these products to the Dealer, but the products in this group cannot be returned to Jul. (Specially designed clothes, wedding dresses, engagement dresses, henna dresses, underwear, medical, health and products of brands that have been notified to the Dealer in writing)
9 Returns
9. 1. When the XML Link is sent, we share our site information and source code with you. For this reason, there is no refund after sending the xml link to you.
10 Manufacturing Time
10. 1. Some products contained in XML have a manufacturing period.
10. 2. There is no stock problem in shoes, Jewelry products. These products are manufactured in our own production. When it is out of stock, it is manufactured and sent to your customer within 1-7 working days.
11 Billing
11. 1. When the usage period of the people who purchase xml monthly is over, the total month they have used will be calculated and the invoice will be sent to them.
11. 2. The invoices will be sent to the addresses of the people who have purchased the annual and lifetime packages after they have forwarded the contract to us.
12 Prohibition of Transfer and Assignment
12. 1. The Dealer may not transfer or assign the rights and receivables arising from this Agreement to another third party without the written permission of Yokyok.
12. 2. 13 Privacy Terms
13. 1. The Parties undertake to accept as Confidential Information or Trade secrets all the information they have learned due to the performance of this agreement, other than what is known or may be known by legal means, whether it is reported to be confidential between the Parties or not, and not to provide, disclose, make public or refrain from such behavior without the written permission of each other, except for legal obligations, to third parties or organizations. Regardless of whether the information learned due to this agreement is reported to be confidential or not, in case of use contrary to the articles of this agreement or the rules of good faith, the damaged party has the right to claim all kinds of damages and losses from the other side. Even if this Agreement is terminated, the confidentiality obligations will remain in force. This agreement and the contents of this agreement may not be disclosed by the parties to third parties in any way.
14 Contract Duration
14. 1. Duration of the Contract ................................... 14. 4. The xml contract will be sent as an email to our dealers who purchase Xml monthly. If you approve, you will be deemed to have accepted the agreement, your xml link will be defined and sent to you by mail.
